ReelSight Productions - Terms and Conditions
Welcome to ReelSight Productions. These Terms and Conditions govern your use of our services, including video production for corporate and commercial use, promotional video creation, social media video content development, reels production for Instagram and TikTok, post-production services (editing, colour grading), motion graphics and animation, drone videography, live event videography, and content strategy and consulting for video marketing. By engaging with our services, you agree to comply with and be bound by these terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using any services provided by ReelSight Productions, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our services.
2. Services Provided
ReelSight Productions offers a comprehensive range of media production and marketing services including, but not limited to:
- Video production for corporate and commercial clients.
- Creation of promotional videos and advertising content.
- Development of social media video content, including Reels and TikToks.
- Post-production services, including editing, colour grading, sound design, and mastering.
- Motion graphics and 2D/3D animation.
- Drone videography and aerial footage acquisition.
- Live event videography and multi-camera setups.
- Content strategy and consulting for video marketing initiatives.
Specific project details, deliverables, timelines, and pricing will be outlined in a separate project proposal or agreement.
3. Client Responsibilities
The client agrees to:
- Provide accurate, complete, and timely information and materials necessary for the completion of the project.
- Ensure that all provided content (e.g., logos, music, trademarks, footage) does not infringe upon any third-party rights, and to indemnify ReelSight Productions against any claims arising from such infringement.
- Provide prompt feedback and approvals at various stages of the project as required. Delays in feedback may affect project timelines.
- Meet all financial obligations as detailed in the project proposal or invoice.
4. Intellectual Property
Upon full payment for the services rendered, the client will generally be granted a license to use the final deliverables (e.g., video files) for their intended purpose as agreed in the project proposal. Unless explicitly stated otherwise in a separate agreement:
- ReelSight Productions retains the intellectual property rights to all raw footage, project files, templates, and proprietary techniques used in the creation of the deliverables.
- ReelSight Productions reserves the right to use the completed project for its own promotional and portfolio purposes, including displaying it on our website, social media, and in pitches to prospective clients.
5. Payment Terms
Payment terms will be specified in the individual project proposal or invoice. Typically, a deposit is required upfront to commence work, with subsequent payments staggered based on project milestones or upon completion. All invoices are due within the agreed upon timeframe. Late payments may incur interest charges at a rate of 2% per month or part thereof, and may result in the suspension of services or delayed delivery of deliverables.
6. Revisions and Approvals
The number of included revisions will be specified in the project proposal. Additional revisions beyond the agreed scope may be subject to extra charges. All revisions must be requested in writing. Final approval of deliverables must also be provided in writing. Once approved, any further changes may incur additional costs.
7. Confidentiality
ReelSight Productions agrees to treat all confidential information provided by the client as private and proprietary, and will not disclose it to third parties, except as required for the execution of the project or by law.
8. Limitation of Liability
ReelSight Productions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the service; (ii) any conduct or content of any third party on the service; (iii) any content obtained from the service; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to ReelSight Productions for the specific services giving rise to the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless ReelSight Productions, its directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity.
10. Termination
Either party may terminate a project or agreement for cause, including a material breach of these terms, with written notice. Termination for convenience may be subject to a termination fee based on work completed and expenses incurred.
11. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Victoria, Australia, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or in connection with these Terms or the services provided by ReelSight Productions, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by arbitration in Melbourne, Victoria, Australia in accordance with the Australian Centre for International Commercial Arbitration (ACICA) rules.
12. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. We will provide notice of any changes by updating the "Last Updated" date on this document. Your continued use of our services after any such changes constitutes your acceptance of the new Terms and Conditions.
